Fuel Discount Rewards Program

These 8TK Rewards Terms & Conditions (“Terms”) govern the Fuel Discount Rewards Program (“Fuel Discount Program” or “Program”) for Greenlane.ai LLC dba 8TK (“Greenlane” or “8TK”). By participating in the Program, you agree to these Terms. Greenlane reserves the right to cancel at any time, postpone, and resume any reward programs.

The 8TK Fuel Discount Rewards Program is a promotional fuel discount program available to eligible 8TK Account Owners (“Account Owner(s)”) in connection with eligible purchase transactions made using an eligible 8TK Visa debit card, subject to these Terms. Eligible settled purchase transactions may generate promotional “Reward Gallons,” which represent the number of gallons eligible to receive the applicable per-gallon fuel discount associated with the Account Owner’s active membership tier. Reward Gallons may only be redeemed as fuel discounts on eligible fuel purchases completed through the Greenlane or 8TK mobile application and associated fueling platform using an Eligible Funding Source.

Eligibility

You must be at least 18 years old and a resident of the United States to participate in the Program. Participation requires an active 8TK commercial account, an active eligible 8TK Visa debit card, an active paid membership tier, compliance with all applicable account agreements, and that your account remains in good standing at all times. Accounts that are suspended, restricted, flagged for suspicious activity, or otherwise determined by Greenlane to present operational, legal, compliance, reputational or financial risk may be deemed ineligible to participate in the Program. These examples are illustrative only and do not limit Greenlane’s ability to determine account standing. Greenlane may determine Program eligibility and account standing in its sole discretion.

Fuel Discount Rewards Terms

How Rewards Are Earned

Eligible 8TK Account Owners earn “Reward Gallons” through qualifying purchase transactions made using an eligible 8TK Visa debit card. Reward Gallons are generated only after eligible transactions have been fully settled and are not generated at the time of authorization.

“Reward Gallons” represent the number of gallons eligible to receive the applicable per-gallon fuel discount associated with your active membership tier. Reward Gallons are promotional in nature, are not deposits, are not stored value, are not cash equivalents, are non-transferable, may not be redeemed for cash, may not be withdrawn or assigned, and may only be used for eligible fuel purchases completed through the Greenlane platform in accordance with these Terms. Reward Gallons are not insured by the FDIC or Greenlane’s bank partner(s) and do not constitute personal property, vested rights, or any ownership interest of the Account Owner.

The rate at which Reward Gallons are earned is determined by your active paid membership subscription tier. Each membership tier is assigned a corresponding earn rate and fuel discount rate, which are used to calculate the number of Reward Gallons earned from eligible settled purchase transactions.

Reward Gallons are calculated by multiplying the amount of eligible settled purchase transactions by the applicable earn rate and dividing the resulting amount by the applicable fuel discount rate associated with your membership tier.

For illustrative purposes only, under the Green Tier, eligible settled purchases earn rewards at a rate of 1.75%. If you make $400.00 in eligible settled purchases, you would earn $7.00 in reward value. Based on the Green Tier fuel discount rate of 10¢ per gallon, this would result in 70 Reward Gallons.

Reward Gallons are automatically credited to your available Reward Gallons balance once the qualifying transaction has settled and been processed in accordance with Program rules. Settlement may occur immediately or may take up to thirty (30) calendar days depending on merchant practices, payment network rules, and transaction type, including pre-authorizations, delayed presentment, and subsequent adjustments. If a transaction is reversed, expires, or settles for a different amount than initially authorized, the corresponding Reward Gallons may be adjusted, delayed, or removed.

Changes to membership tier status, cancellation, suspension, non-payment, downgrade, upgrade, or termination of a paid membership subscription may affect reward earn rates, fuel discount rates, monthly redemption limits, Reward Gallons balances, rollover balances, and eligibility to participate in the Program.

How Reward Gallons Are Used

Reward Gallons are automatically redeemed solely as a fuel discount applied toward eligible fuel purchases completed within the Greenlane platform.

When an eligible fuel purchase is made, the applicable per-gallon fuel discount associated with your active membership tier is automatically applied to eligible gallons purchased, up to the amount of available Reward Gallons in your balance at the time the transaction is completed and processed.

Fuel prices displayed within the Greenlane platform may reflect the applicable membership tier fuel discount rate when you have available Reward Gallons. The final reward discount applied to a fuel transaction is calculated after the fuel transaction is completed based on the actual gallons purchased, your available Reward Gallons balance, your applicable membership tier fuel discount rate, and any applicable monthly redemption limits.

If the gallons purchased exceed your available Reward Gallons balance, the applicable fuel discount will apply only to the gallons covered by your available Reward Gallons balance, and the standard fuel price will apply to all remaining gallons purchased. The final applied discount and remaining Reward Gallons balance will be reflected in your transaction receipt and rewards balance after the transaction is completed and processed.

For illustrative purposes only, under the Green Tier, the applicable fuel discount rate is 10¢ per gallon. If you have 100 available Reward Gallons and purchase 130 gallons of fuel at $4.25 per gallon, the 10¢ per gallon fuel discount will apply only to the first 50 gallons. The remaining 80 gallons will be charged at the standard discounted fuel price.

The total amount of Reward Gallons that may be redeemed in any calendar month is subject to the applicable monthly redemption limit associated with your membership tier. For example, under the Green Tier, no more than 210 Reward Gallons may be redeemed during a single calendar month, regardless of the amount of Reward Gallons accumulated in your balance. You can view your applicable membership tier rates and limits in the Membership Rate section.

Unused Reward Gallons automatically roll over and remain available for future eligible fuel purchases, subject to continued eligibility, account standing, Program participation, and your active membership tier at the time of redemption.

Reward Gallons will be visible to you within the Greenlane mobile application and automatically applied during eligible fuel purchases processed through the Greenlane platform.

Reward Gallons have no cash value outside of their use as an eligible fuel discount and may not be withdrawn, transferred, exchanged, sold, or redeemed for cash.

Membership Rates

Membership Tier Changes; Reward Gallon Redemption Order

Reward Gallons are tracked based on the membership tier under which they were earned. If you earn Reward Gallons under multiple membership tiers, Reward Gallons associated with the highest applicable fuel discount rate will be redeemed first until exhausted, followed by Reward Gallons associated with progressively lower fuel discount rates. Reward Gallons earned after an upgrade immediately accrue at the earn rate applicable to your new membership tier and become immediately eligible for redemption at that tier’s applicable fuel discount rate. Reward Gallons earned under a prior membership tier retain the fuel discount rate applicable when they were earned and will remain available for redemption after higher-value Reward Gallons have been exhausted. Likewise, following a downgrade, any Reward Gallons previously earned at a higher membership tier will continue to retain their applicable fuel discount rate and will be redeemed before Reward Gallons earned under the lower membership tier. Monthly Redemption Limits are applied across all Reward Gallons redeemed during the applicable calendar month, regardless of the membership tier under which such Reward Gallons were earned. Greenlane may maintain separate Reward Gallon balances by earning tier for administrative and accounting purposes.

Eligible Purchases

The following transaction types are considered “Eligible Transactions” for earning Reward Gallons:

• Signature-based (offline) debit purchases at merchants
• PIN-based (online) debit purchases at merchants
• Contactless and tap-to-pay purchases
• Mobile wallet purchases (including Apple Pay, Google Pay, and Samsung Pay)
• Card-not-present purchases, including online, in-app, mail order, and telephone orders
• Recurring billing and subscription purchases charged to your Card

Fuel purchases may constitute Eligible Transactions and may generate Reward Gallons when completed using an eligible 8TK Visa debit card, subject to Greenlane’s Program rules. For the avoidance of doubt, fuel purchases made directly through the Greenlane or 8TK mobile application using an eligible 8TK Visa debit card do not earn Reward Gallons, unless expressly

stated otherwise in connection with a specific promotional offer. In those instances, Reward Gallons are not generated on the discounted portion of any transaction for which Reward Gallons are redeemed, applied, realized, or otherwise used as a fuel discount. Greenlane may determine the portion of any transaction eligible for Reward Gallon generation in its sole discretion.

In addition, the following transaction types are not Eligible Transactions and do not earn Reward Gallons: ACH transactions, wire transfers, account-to-account transfers, cash withdrawals, cash advances, prepaid card loads, gift card purchases, money orders, gambling transactions, cryptocurrency-related transactions, tax payments, balance transfers, returned purchases, reversed transactions, disputed transactions, and unauthorized transactions, as well as any other transaction category designated by us as ineligible from time to time.

Greenlane reserves the right to modify the definition of eligible and ineligible purchases. Material changes will be communicated through the Greenlane App or other appropriate channels as required by applicable law.

Eligible Fuel Purchases

Reward Gallons may only be redeemed toward eligible fuel purchases completed through the Greenlane or 8TK platform using an eligible funding source.

Eligible fuel purchases generally include purchases of diesel fuel and reefer diesel offered through participating merchants and fueling partners within the Greenlane or 8TK platform. Certain fuel products, additives, ancillary vehicle fluids, fees, taxes, surcharges, service charges, or non-fuel items — including, without limitation, diesel exhaust fluid (“DEF”) — may be excluded from eligibility for Reward Gallons redemption, in whole or in part, at Greenlane’s sole discretion.

Greenlane reserves the right to determine the types of fuel products and related charges that qualify for Reward Gallons redemption and may modify eligible fuel categories at any time. Material changes will be communicated through the Greenlane or 8TK app or other appropriate channels as required by applicable law.

Eligible Funding Sources

Reward Gallons may only be redeemed and applied toward eligible fuel purchases completed through the Greenlane mobile application and associated fueling platform when using an Eligible Funding Source. An Eligible Funding Sources means an eligible 8TK commercial deposit account or 8TK Visa debit card.

Additional payment methods or funding products may be designated by Greenlane as Eligible Funding Sources from time to time. Not all payment methods available within the 8TK platform are Eligible Funding Sources for purposes of Reward Gallons redemption. Greenlane may add, remove, suspend, restrict, or modify Eligible Funding Sources at any time.

Returns, Refunds, and Reversals

If an Eligible Transaction is returned, refunded, reversed, or otherwise canceled in whole or in part, the corresponding reward will be reversed. Reversals are first applied against any pending (unsettled) rewards in your account. Reward Gallons previously reflected in your rewards balance may be reversed, adjusted, offset, or deducted from your account at any time, including after settlement, in the event of a transaction reversal, refund, chargeback, or other adjustment. Rewards may also be reversed or removed if we determine there is fraud, abuse, gaming, or a violation of these Terms. Greenlane may, in its sole discretion, review accounts with unusually high return, refund, or chargeback activity and may suspend or terminate participation in the Fuel Discount Rewards Program for any such account.

Account Closure

If your account is closed for any reason—whether by you or by Greenlane—you will immediately forfeit any and all rewards or other benefits earned or accumulated under the Program. Upon account closure, you will no longer be able to access, redeem, transfer, or otherwise use any rewards associated with the Program, and such rewards will have no cash value. The Program will not reinstate forfeited rewards under any circumstances, and rewards cannot be recovered after the account has been closed.

Modification and Termination

Greenlane reserves the right, in its sole discretion and at any time, to: (i) modify the rate, structure, eligibility criteria, qualifying transactions, settlement timing, or any other term of the Rewards Program; (ii) suspend or terminate the Rewards Program in whole or in part; (iii) suspend or terminate your individual participation in the Rewards Program for any reason, including suspected fraud, abuse, or violation of these Terms; and (iv) recover or reverse rewards credited in error, in connection with fraud, or in violation of these Terms. Notice of material changes to the Rewards Program will be provided through the Greenlane App as required by applicable law. Material changes will be communicated through the Greenlane or 8TK app or other appropriate channels as required by applicable law.

Other Program Information

The Fuel Discount Rewards Program is offered and administered by Greenlane.ai, LLC and is not a deposit product or other obligation of First Bank of the Lake.

Reward Gallons and related promotional benefits may not be combined with certain other Greenlane promotional offers or discounts where expressly prohibited by Greenlane.

Except where prohibited by law, as a condition of participating in these Programs, the participant agrees that any and all disputes connected with these Programs shall be resolved individually, without resort to any form of class action.

Under no circumstances will the participant be able to claim punitive damages, or any other damages, including legal fees. All issues and questions concerning the validity, interpretation and enforceability of these Programs, or the rights and obligations of either Greenlane or its Account Owners, will be governed by the laws of the Commonwealth of Pennsylvania.
